Trimble Training Cancellation Policy
Notice of a training candidate's intent to cancel a registration must be made in writing to Trimble and is subject to the following terms:

• Training candidates whose cancellation request is received in excess of 14 days prior to the start date of the training activity will incur no liabilities.
• Training candidates whose cancellation request is received within 14 days prior to the start date or after the commencement of the training activity will incur an administration fee equal to 100% of the posted training fee.

One substitute is permitted per registrant for the entire course; daily substitutions are not permitted. Trimble must be notified prior to the first day of the course when a substitution will occur. Trimble will also allow the registration fee to be applied to a different Trimble sponsored course. This request must be made in writing, subject to approval by Trimble, and can be used turning a period of time not exceeding 12 months from the original course registration.

Trimble reserves the right to cancel courses, change course location, change instructors, or change course content. In the event that a course must be canceled or the location of the course changed, registrants will be informed two weeks prior to the start of the course.

Please do not purchase non-refundable airline tickets more than 14 days before the course. Should a course require cancellation or change in location Trimble is not responsible for non-refundable airline tickets.

Cancellation policies may vary by Trimble division, so please check with your event coordinator on their specific cancellation policy prior to cancelling your training enrollment.

Your continued use of this Site following the posting of any changes to the Terms of Use will confirm your acceptance of those changes. In the case of any violation of these Terms of Use, Trimble reserves the right to terminate your use of the Learn.Trimble.com and to seek all other remedies available in law and equity for such violations.



Description and Limited License to Use Site and Content



Trimble's Learn.Trimble.com is an Internet-based service consisting of various Trimble-owned and third party databases, services, functions and Content (hereinafter defined) which may change from time to time (collectively, "Features"). The Learn.Trimble.com's content includes a variety of training courses, certification programs, learning tools and other information and materials, presented in both text-based and multi-media (streaming audio and/or video) formats (collectively, "Content").



"You" (or "Your"), an individual or a single company or legal entity and the personnel associated with your business are granted a non-exclusive, non-transferable, limited license to access the Learn.Trimble.com Site and use the Content conditioned upon your adherence to these Terms of Use and any other applicable usage instructions set forth on the Learn.Trimble.com Site. You are licensed to download one copy of text-based Content (e.g., training aids or files associated with a lesson) on any single computer for your personal, noncommercial use, as long as all copyright and other proprietary notices remain intact and are prominently displayed; and, You may download and store the text-based Content ("Downloaded Content") to a storage device under Your exclusive control solely (i) to display internally such Downloaded Content, and (ii) to print out such Downloaded Content only for Your internal use. With respect to multi-media Content (e.g., audio or video presentation of a lesson), You are licensed to present audibly and/or visibly the audio and/or video signal on any single computer contemporaneous with the transmission of the multi-media Content from the Learn.Trimble.com and only for each individual Learn.Trimble.com user who is registered to access and use Content; and, You may not download or store the multimedia Content. Content is generally made available through the Learn.Trimble.com Site on a time-limited basis as specified on the Learn.Trimble.com Site. Your right to use time-limited Content automatically expires at the end of the applicable time-limit period, and it is Your responsibility to make use of the Content licensed by you prior to expiration of the time-limit period.



Limitations on Use



You may not sublicense, transfer or otherwise make available any Content to any third party for commercial purposes or financial gain or use Content in any other media or in any other location. You may not alter or modify Content in any way. You may not copy or, download, scrape, store, publish, transmit, retransmit, distribute, broadcast, circulate, transfer, sell, resell, republish, upload, distribute or otherwise use Content, or any portion of Content, in any form or by any means, except (i) as expressly permitted by this Agreement, (ii) with Trimble's prior written permission, or (iii) if not expressly prohibited by this Agreement, as allowed under the fair use provision of the Copyright Act (17 U.S.C.A. §107). You shall not sell, license or distribute Content (including printouts and Downloaded Content) to third parties or use Content as a component of or as a basis for any material offered for sale, license or distribution.



Additionally, You may not reverse engineer, decompile, disassemble or otherwise attempt to discern the source code of the components of the Learn.Trimble.com Site nor may you reproduce all or any portion of the components of the Learn.Trimble.com Site. You may use Content cached in your local disk drive solely in support of its use of the Learn.Trimble.com Site. Certain software or devices used by You may not be capable of supporting the Learn.Trimble.com Site. The performance of the Learn.Trimble.com Site varies with the manufacturer's equipment and networking (including without limitation the Internet and the World Wide Web) with which it is used. Trimble is not responsible for such equipment and networking or for problems or conditions arising from or related to network connections (e.g., bandwidth constraints, network outages, firewalls, World Wide Web conditions, etc.).



Title and Ownership



Except for the limited license granted in these Terms of Use, all right, title and interest in and to the Learn.Trimble.com Site and Content, in all languages, formats and media throughout the world, including all copyrights and trademarks, are and will continue to be the exclusive property of Trimble and its other contributors, if any. Unless otherwise noted, all Content, including without limitation, images, illustrations, designs, icons, photographs, audio/video clips, and written and other materials that are part of the Trimble Learn.Trimble.com, are copyrights, trademarks, trade dress and/or other intellectual properties owned, controlled or licensed by Trimble.



Termination of this License



If You violate these Terms of Use, your authorization to use the Learn.Trimble.com Site automatically terminates and you must immediately discontinue use of and destroy any downloaded or printed Content obtained therefrom.



Password-Protected Areas and Access



The Content and services available through the Learn.Trimble.com Site may be accessed from password-protected areas only. Access to and use of any such Content or service from a password protected area is restricted to authorized users only who have met the qualifications required by Trimble, in its sole discretion, for use thereof. You are solely responsible for maintaining the security of your Learn.Trimble.com passwords. You are also responsible for all access to and use of the Learn.Trimble.com, including Features, Content and the Learn.Trimble.com Site by your personnel whether or not You have knowledge of, or authorize such access and use. Distribution of a password to any person or entity not authorized to use the password or Learn.Trimble.com is prohibited and will result in immediate removal of the password holder's rights to access the Learn.Trimble.com Site in whole or in part.



User Privacy and Information



To understand Trimble's general data privacy practices, which likewise apply to our Learn.Trimble.com, please review Trimble's online Privacy Statement. It can be accessed and viewed at any time from the Home page of the Learn.Trimble.com Site.



You provide personal information on a voluntary basis via the Learn.Trimble.com Site when registering to use Trimble's Learn.Trimble.com and purchasing use of Content. You acknowledge that any such data stored and collected by and through the Learn.Trimble.com Site may be retraceable to individuals. Each time You log on to the Learn.Trimble.com Site, certain information, including the username, will be sent in communications with Trimble's or its external service providers' servers. This information is used to manage your Learn.Trimble.com account. Trimble or its external service provider may match the username to personally identifiable information in order to provide you with the Learn.Trimble.com Features that you are entitled to use and other relevant data and information.



In accordance with Trimble's online Privacy Statement, we may also use the information you provide to notify you later about new developments with respect to Learn.Trimble.com products and services you have purchased or to inform you about new products, special offers and services offered by Trimble. You will have the choice of opting out of receiving such promotional information from Trimble.



Trimble's Learn.Trimble.com is administered by Trimble from its offices or those of its affiliates at various locations within in the United States of America. Trimble may also make use of an affiliate or one or more external service providers to host various Features. Consequently, personal information you provide is collected, sent, processed and stored in the United States and may also be collected, sent, processed and stored outside the USA. You acknowledge that in the event of conflict of privacy laws or practices in your jurisdiction and those in the domicile of the entity hosting our Learn.Trimble.com Site and Features, the law applicable in the domicile of the hosting entity will govern at all times.



Charges & Payment



Charges payable by You for access to and use of Learn.Trimble.com Content and services ("Learn.Trimble.com Charges") will be as stated on the Learn.Trimble.com Site store or as otherwise agreed upon in writing by the parties. Learn.Trimble.com Charges may be modified by Trimble at any time, provided that Learn.Trimble.com Charges associated with Content and services purchased by You prior to any such pricing change will not be affected.



Unless Content has been made available by Trimble at no charge, You shall pay all fees associated with the Content licensed and services purchased hereunder as set forth in the applicable order form appearing in the Learn.Trimble.com Site store. All payments shall be made at the time of placing an order in the currency specified in the applicable Learn.Trimble.com Site store order form, unless other payment terms stated in writing by Trimble (e.g., those specified in a separate written agreement between You and Trimble) apply to the Learn.Trimble.com Charges You incur. You shall be responsible for all taxes, withholdings, duties and levies arising from the order (excluding taxes based on the net income of the Trimble). All Learn.Trimble.com Charges are non-refundable once paid. Any additional terms and conditions of sale appearing in the Learn.Trimble.com Site store will apply to your purchases thereunder. In the event of a conflict between these Terms of Use and terms and conditions of sale appearing in the Learn.Trimble.com Site store, the latter will govern.

User Communications / Discussion Forums and Messages



The Learn.Trimble.com Site may now or in the future include forums, bulletin board services, blogs, chat areas, communities, personal web pages and other message or communications facilities designed to enable you to communicate with Trimble (e.g., to provide feedback and suggestions) and/or with other Learn.Trimble.com Site users, and to post, upload, share and submit materials (e.g., text, images, data, etc.) for review by Trimble, the general public or by members of a public or private community (collectively, "User Communications"). PLEASE BE AWARE THAT USER COMMUNICATIONS WILL BE CONSIDERED NON-CONFIDENTIAL AND NON-PROPRIETARY; AND THAT BY POSTING, UPLOADING, INPUTTING, OPTING TO SHARE, PROVIDING OR OTHERWISE SUBMITTING ANY USER COMMUNICATIONS TO THE LEARN.TRIMBLE.COM SITE YOU UNDERSTAND AND AGREE THAT:


  • You are granting Trimble, its designees, licensees and business partners, as well as members of the general public using the Learn.Trimble.com Site consent and permission to use your User Communications, including without limitation worldwide, royalty-free non-exclusive, perpetual license rights with right of sublicense to disclose, reproduce, display (publicly or otherwise), perform, adapt, modify, transmit, distribute, have distributed, edit, translate, reformat, create derivative works based on and otherwise use such User Communications;

  • Trimble shall be free to use any ideas, concepts, know-how or techniques contained in the User Communications for any purpose without obligation of compensation or attribution; and

  • You warrant and represent that you own or otherwise control all of the rights to your User Communications and that Your User Communications will not infringe or violate the rights of any third party.

Trimble shall have no obligation to monitor the User Communications to the Learn.Trimble.com. Nor shall Trimble have an obligation to remove any User Communications that you have opted to input and share absent Trimble's receipt of your written request to do so. However, Trimble reserves the right to review materials posted to the Learn.Trimble.com and to remove any materials in its sole discretion. Trimble reserves the right at all times to disclose any information as Trimble may deem necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any User Communications or other materials, in whole or in part, in Trimble's sole discretion. Trimble does not control or endorse the content, messages or information found in any User Communications and, therefore, Trimble specifically disclaims any liability with regard to them and any actions resulting from your participation in the Learn.Trimble.com.



Personal information that you may submit for the purpose of receiving products or services will be handled in accordance with Trimble's online Privacy Statement.



Please note: You may submit a request for removal of your shared User Communications from the applicable user chat room, blog or other forum to the email address designated for such purpose, or to learn@trimble.com ; provided, however, that such removal will not affect any licenses granted in connection with your User Communications prior to the time of their removal.



No Misuse of the Site



As a condition of your use of the Learn.Trimble.com Site you agree that you will not use the Learn.Trimble.com Site or Content for any purpose that is unlawful or prohibited by the Terms of Use. You will be responsible for any costs incurred by Trimble or any other party (including attorney's fees) as a result of your misuse of the Learn.Trimble.com Site or Features. Misuse use includes, but is not limited to,


  • Using the Learn.Trimble.com Site to disseminate or convey inappropriate, defamatory, obscene, salacious, or unlawful information, images or materials; or to defame, harass, stalk, threaten or otherwise violate the legal rights of others.

  • Using the Learn.Trimble.com Site in such a manner so as to interfere unreasonably with its use by others; or attempting or assisting another to access, alter, or interfere with the communications and/or information of another user;

  • Subscription fraud or unauthorized access;

  • Uploading, or otherwise making available, files that contain text, images, photographs, software or other materials owned by others that are protected by intellectual property laws (e.g., copyright, trademark, rights of privacy or publicity) and for which you have not received all necessary and legal consents for their use.

  • Using any information, images or other Content available through the Learn.Trimble.com Site in any manner that infringes any copyright, trademark, patent, trade secret or other proprietary right of any party.

  • Advertising, offering to sell or buy goods, or using the Learn.Trimble.com Site for business promotional purposes Violating any code of conduct associated with the Learn.Trimble.com Site, or any applicable laws or regulations;

  • Taking any action that imposes an unreasonable or disproportionately large load on the Learn.Trimble.com Site infrastructure; or uploading files that contain viruses, Trojan horses, worms, or other similar software or programs that cause damage to computers or property of others.

User Indemnification



UPON A REQUEST BY TRIMBLE, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS TRIMBLE AND ITS SUBSIDIARIES, AFFILIATES, AGENTS, CO-BRANDERS OR OTHER BUSINESS PARTNERS, AND ITS AND THEIR EMPLOYEES, CONTRACTORS, OFFICERS, AND DIRECTORS FROM ALL CLAIMS, LAWSUITS, DEMANDS, ACTIONS OR OTHER PROCEEDINGS (each, a "CLAIM") BROUGHT AGAINST IT/THEM BY ANY THIRD PARTY DUE TO, ARISING OUT OF OR RELATED TO (i) YOUR USE OR MISUSE OF THE LEARN.TRIMBLE.COM,OR ITS FEATURES, OR (ii) YOUR VIOLATION OF ANY LAW, REGULATION OR THIRD PARTY RIGHTS. You shall pay any and all costs, damages and expenses, including, without limitation, reasonable attorneys' fees and costs awarded against or otherwise incurred by Trimble in connection with or arising from any such Claim. Trimble may, at its own expense, assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with Trimble in asserting any available defenses.



Removal of Content and Discontinuation of Service; Termination of Authorization to Use Site



Trimble reserves the right to remove Content or discontinue services available on the Learn.Trimble.com Site with or without notice. Trimble further reserves the right to terminate your authorization to use any services at the Learn.Trimble.com Site, to terminate your password, if any, and to delete any one or more of your related accounts, for any reason or for no reason, immediately and at any time. This notwithstanding, if Your Learn.Trimble.com account is terminated for Trimble's convenience and no fault on Your part, then You will be reimbursed the Learn.Trimble.com Charges paid by you for services and use of Content , if any, that are made unavailable for Your use prior to the date of termination. You will, however, remain obligated to pay Learn.Trimble.com Charges for services and Content purchased and made available to you until the date of termination.



Retention/Deletion of User Data



Trimble maintains the personal information provided by a user, the user's Learn.Trimble.com usage and certification records and other information maintained under the user's Learn.Trimble.com account (collectively, "User Data") during the period in which the account remains active, and then customarily retains such User Data for a period of three years following inactivation of the user's account in order to permit users, at their convenience, to reactivate their accounts and/or to obtain records of their Learn.Trimble.com activities at a later time. At any time, however, Trimble may permanently delete from its or its external provider's servers any User Data maintained in your Learn.Trimble.com account, and You may also request deletion of Your User Data maintained by Trimble by contacting Trimble at learn@Trimble.com. It is Your responsibility to maintain copies of Your important User Data and Trimble accepts no responsibility for deleted User Data. Deletion of all User Data from an account will effectively terminate the account.



Links to Third Party Sites



You should be aware that when you are accessing the Learn.Trimble.com Site, You could be directed, by selecting links, to other, third party Web sites. Access to any other Internet site linked to the Learn.Trimble.com Site is at Your own risk. Trimble does not control, and is not responsible for the accuracy or reliability of any information, materials, data, opinions, advice or statements made on those sites, or about any products found at those sites, or about any search results that may be obtained from using them. Trimble provides such links merely as a convenience and the inclusion of such links does not imply an endorsement.



U.S. Government Restricted Rights



The Learn.Trimble.com Site, Features and Content have been developed fully at private expense. If You are an employee, or agency, department, or other entity of the United States Government, the use, duplication, reproduction, release, modification, disclosure, or transfer of the Content, or any related documentation of any kind, is restricted by these Terms of Use in accordance with Federal Acquisition Regulation 12.212 for civilian purposes and Defense Federal Acquisition Regulation Supplement 227.7202 for military purposes. All other use is prohibited.



International



The Learn.Trimble.com is administered by Trimble from its offices or those of its affiliates at various locations within the United States of America. Trimble makes no representation that Learn.Trimble.com services and Content are appropriate or available for use in locations outside the United States, and accessing them from territories where the services and Content are illegal is prohibited. You may not use or export or re-export the Content at the Learn.Trimble.com Site or any copy or adaptation in violation of any applicable laws or regulations including, without limitation, United States export laws and regulations. If you choose to access the Learn.Trimble.com Site from locations outside the United States, you do so on your own initiative and are responsible for compliance with applicable local laws.



Notices and Electronic Communications



When you visit the Learn.Trimble.com Site or send e-mail to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the Learn.Trimble.com Site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. Choice of Law and Forum



These Terms of Use will be governed by and construed in accordance with the laws of the State of California and applicable United States federal law, without reference to "conflicts of laws" provisions or principles. You expressly agree that the exclusive jurisdiction for any claim or action arising out of or relating to these Terms of Use or your use of the Learn.Trimble.com shall lie exclusively in, or be transferred to the courts of the County of Santa Clara and/or the Northern District of California; and you further agree and submit to the exercise of personal jurisdiction of such courts for the purpose of adjudicating any such claim or action.



General Provisions



These Terms of Use and/or any other valid written agreement between you and Trimble for use of the Learn.Trimble.com constitute the entire agreement between you and Trimble with respect to your use of the Learn.Trimble.com, superseding all prior or contemporaneous agreements, communications and proposals (whether oral, written, or electronic) between you and Trimble regarding use of the Learn.Trimble.com. No change, modification, or wavier of the Terms of Use will be binding on Trimble unless made in writing with Trimble's approval. Any rights in the Learn.Trimble.com and its Features not otherwise expressly granted by this Agreement are reserved by Trimble. The failure of Trimble to exercise or enforce any right or provision of the Terms of Use will not constitute a waiver of such right or provision. If any part of these Terms of Use is held to be invalid, illegal or unenforceable to any extent, that portion shall, if possible, be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of Trimble, and the remaining portions shall remain in full force and effect. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Learn.Trimble.com must be filed within one (1) year after such claim or cause of action arose or be forever barred.



Official Language



The official language of the Terms of Use is English. For purposes of interpretation, or in the event of a conflict between English and versions of the Terms of Use in any other language, the English language version shall be controlling.



Digital Millennium Copyright Act



Notice and Procedure for Making Claims of Copyright Infringement

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Trimble's DMCA administrator the written information specified below, as required by the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act, Title 17, United States Code, Section 512(c)(2).


  • An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;

  • A description of the copyrighted work that you claim has been infringed upon;

  • A description of where the material that you claim is infringing is located on the Learn.Trimble.com Site, including the auction ID number, if applicable;

  • Your address, telephone number, and e-mail address;

  • A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;

  • A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
